# PUBLIC OFFER AGREEMENT OF THE IZETA ONLINE STORE

(Distance Sale and Purchase Agreement)

This document constitutes an official Public Offer ("Offer") made by ZETTA LLC (hereinafter referred to as the "Seller"), represented by its General Director, Izeta Navruzbekovna Gadzhieva, acting pursuant to the Company's Charter, to enter into a Distance Sale and Purchase Agreement under the terms and conditions set forth below with any legally competent individual (hereinafter referred to as the "Buyer").

In accordance with Article 437(2) of the Civil Code of the Russian Federation, acceptance of the terms set forth herein and payment for the goods shall constitute full acceptance of this Offer and establish a binding agreement between the Buyer and the Seller.

1. DEFINITIONS

1.2 Buyer

Any legally competent individual who intends to order, purchase, or use Goods exclusively for personal, family, household, or other non-business purposes and who has accepted the terms of this Offer.

1.3 Online Store

The Seller’s official websites located at:

including all associated web pages displaying Goods, payment methods, and delivery conditions.

1.4 Goods

Clothing, footwear, accessories, fur and leather products, perfumes, interior décor items, and other products offered for sale on the Website.

Goods may be:

  • Ready-made products available from stock; or
  • Custom-made products manufactured according to the Buyer's individual measurements and specifications.

1.5 Order

A duly completed request submitted by the Buyer for the purchase and delivery of Goods selected through the Website or agreed upon with the Seller’s representative.

1.6 Acceptance of the Offer

The Buyer's full and unconditional acceptance of the terms of this Offer through the actions specified in Section 3 of this Agreement.

2. GENERAL PROVISIONS

2.1 Applicable Law

Relations between the Buyer and the Seller shall be governed by:

  • The Civil Code of the Russian Federation;
  • The Law of the Russian Federation No. 2300-1 "On Consumer Protection";
  • Rules for the Sale of Goods under Retail Sale Agreements approved by Government Resolution No. 2463 dated December 31, 2020;
  • Other applicable laws and regulations of the Russian Federation.

2.2 Amendments

The Seller reserves the right to amend this Offer unilaterally. Any revised version shall become effective upon publication on the Website unless otherwise specified.

2.3 Product Images and Descriptions

Photographs, descriptions, and specifications displayed on the Website are provided for informational purposes only.

Colors, shades, and textures of materials (particularly natural fur and leather) may vary slightly depending on the display settings of individual devices.

2.4 Care Instructions

Each product is supplied with a mandatory sewn-in label containing:

  • Material composition information;
  • Individual care instructions presented through symbols and/or text.

By placing an Order, the Buyer confirms their obligation to follow all care and maintenance instructions provided on the sewn-in label before and during use of the product.

3. ORDER PLACEMENT AND ACCEPTANCE OF THE OFFER

3.1 Methods of Placing an Order

Orders may be placed through:

  • The Website order form;
  • Telephone communication;
  • WhatsApp or Telegram messaging;
  • Email addresses published on the Website.

3.2 Customer Information

When placing an Order, the Buyer agrees to provide accurate information, including:

  • Full name;
  • Delivery address;
  • Contact phone number;
  • Email address.

3.3 Acceptance

Acceptance of this Offer occurs upon:

  • Clicking the "Place Order" or "Pay" button on the Website; or
  • Making full or partial payment for Goods, including custom-made products.

3.4 Order Confirmation

After an Order is placed, the Seller’s representative will contact the Buyer to confirm:

  • Product availability;
  • Sizes;
  • Manufacturing timelines;
  • Delivery arrangements.

If the Goods are unavailable, the Seller may cancel the Order and refund any amounts already paid.

4. CUSTOM ORDERS AND MADE-TO-MEASURE PRODUCTS

4.1 Individually Customized Products

Goods manufactured according to the Buyer’s measurements or modified at the Buyer’s request shall be considered products with individually determined characteristics.

4.2 Order Specifications

Custom order specifications shall be documented in an order form or written correspondence (email, messenger applications) and approved by the Buyer.

Manufacturing timelines are determined individually and communicated by the Seller.

4.3 Non-Returnable Custom Goods

Pursuant to Article 26.1(4) of the Consumer Protection Law, the Buyer may not refuse or return a product of proper quality that possesses individually determined characteristics and can be used exclusively by the purchasing consumer.

5. PRICING AND PAYMENT

5.1 Product Prices

All prices displayed on the Website are stated in Russian Rubles (RUB).

The Seller reserves the right to change prices at any time prior to Order placement.

5.2 Delivery Charges

Delivery costs are not included in product prices and are calculated separately depending on:

  • Destination;
  • Delivery method;
  • Promotional conditions, if applicable.

5.3 Payment Methods

Orders may be paid through:

  • Bank card payment via the Website payment gateway;
  • Bank transfer to the Seller’s bank account;
  • Other methods agreed upon between the Parties.

5.4 Prepayment

For custom-made products or pre-orders, the Seller may require:

  • Full prepayment (100%); or
  • Partial prepayment (for example, 50%).

6. DELIVERY

6.1 Delivery Services

Available delivery methods, timelines, and destinations are specified in the Website’s "Delivery" section or agreed individually with the Seller.

The Seller delivers throughout:

  • Moscow;
  • Other regions of the Russian Federation;
  • International destinations.

6.2 Transfer of Risk

Risk of accidental loss or damage to the Goods passes to the Buyer upon delivery and signing of the delivery confirmation documents by the Buyer or their authorized representative.

6.3 Inspection Upon Receipt

Upon receipt of the Goods, the Buyer must inspect:

  • Packaging integrity;
  • External condition;
  • Quantity;
  • Product assortment.

Inspection should be performed in the presence of the courier or at the pickup location.

7. RETURNS AND EXCHANGES

7.1 Return of Goods of Proper Quality

The Buyer may refuse Goods purchased remotely:

  • At any time before delivery; and
  • Within seven (7) days after receipt, in accordance with Article 26.1 of the Consumer Protection Law.

The Seller may additionally grant a voluntary return period of fourteen (14) days from receipt of the Goods.

Returns are accepted only if:

  • Original appearance is preserved;
  • Factory labels, tags, seals, and markings remain attached;
  • Consumer properties are preserved;
  • Proof of purchase is provided;
  • The product shows no signs of wear, contamination, or external odors, including perfume.

The Buyer bears all return shipping expenses for Goods of proper quality.

7.2 Non-Returnable Goods

The following Goods of proper quality are not eligible for return or exchange:

  • Precious metal products;
  • Perfumes and cosmetic products;
  • Undergarments and hosiery;
  • Goods with individually determined characteristics.

7.3 Defective Goods

If defects are discovered, the Buyer may exercise rights provided by Article 18 of the Consumer Protection Law.

The Seller may conduct an independent product examination at its own expense.

8. PERSONAL DATA AND CONFIDENTIALITY

8.1 Consent

By placing an Order, the Buyer consents to the collection, storage, processing, updating, and use of personal data in accordance with Federal Law No. 152-FZ "On Personal Data".

8.2 Purpose of Processing

Personal data shall be used exclusively for:

  • Order processing;
  • Delivery services;
  • Customer communication;
  • Fulfillment of contractual obligations.

8.3 Privacy Policy

Detailed provisions governing personal data processing are contained in the Seller’s Privacy Policy published on the Website.

9. LIABILITY AND DISPUTE RESOLUTION

9.1 Liability

The Parties shall be liable for failure to perform or improper performance of their obligations in accordance with applicable Russian law.

9.2 Product Care Responsibility

The Seller shall not be liable for damage caused by:

  • Improper use of the Goods;
  • Violation of operating instructions;
  • Failure to follow care recommendations.

The Seller is fully released from liability for deformation, discoloration, damage to hardware, fur, leather, fabric, or other components resulting from the Buyer's failure to comply with care instructions indicated on the sewn-in label, including but not limited to unauthorized washing when professional dry cleaning is recommended.

9.3 Dispute Resolution

The Parties shall seek to resolve disputes through negotiations.

Written claims shall be reviewed within ten (10) calendar days from receipt.

If no agreement is reached, disputes shall be submitted to the competent court in accordance with the laws of the Russian Federation.
